Finance and Refinance transactions
The Finance law team has ample experience with finance and refinance transactions. In this context, the team provides lenders, borrowers and security providers with practical legal advice on among other things the terms of domestic and international (bank) loan documentation (including LMA recommended), Dutch security documents and intercreditor agreements. This also includes other transaction documents such as corporate authorisations, certificates and preparing and rendering legal opinions.
Acquisition finance
The Finance law team regularly advises sellers, buyers and target entities in the context of acquisition finance transactions, both domestic and international. This includes performing financial due diligence, reviewing and drafting loan and security documentation (including LMA recommended) but also the coordination of transactions as lead counsel for foreign advisers. The Finance Law team renders legal opinion letters in this context as well.
